Terms & Conditions for Sponsors Participating in Shoptalk’s Hosted Retailers & Brands Program (held as part of Shoptalk’s Onsite Meetup)

These terms and conditions ("Terms & Conditions") apply to those individuals (“Hosted Program Participant”, “you” or “your”) participating in Shoptalk’s Hosted Retailers & Brands Program (“Hosted Program”) on behalf of sponsors as part of Shoptalk Commerce LLC’s (“Shoptalk”, “we”, “us” or “our”) onsite meetings program, Meetup  (“Meetup”), scheduled to be held during Shoptalk on March 26-29, 2023 in Las Vegas, NV (the “Event”).

These Terms & Conditions may be modified from time to time, so check back often. So that you are aware changes have been made, we will adjust the “Last revised” date at the beginning of this document. Continued participation in the Event, including Meetup and the Hosted Program, by you will constitute your acceptance of any changes or revisions to these Terms & Conditions.

1. We will arrange a series of 15-minute meetings ("Hosted Meetings") between (a) Hosted Retailers & Brands Buyers (“Hosted Buyers”), and (b) Hosted Program Participants. All Hosted Meetings will take place during Meeting Times, as part of Meetup. Notwithstanding the number of meetings purchased on behalf of any given Hosted Program Participant or in aggregate by all Hosted Program Participants, we do not guarantee any minimum number of Hosted Buyers or any minimum number of Hosted Meetings for any Hosted Program Participant. The number of meetings arranged for any given Hosted Program Participant might be below the number purchased.
   
   
   • "Hosted Retailer & Brand Buyers" are those qualifying individuals from retailers and brands (companies that are primarily in the direct-to-consumer business of online or physical retail of consumer goods and services, including traditional retailers, direct-to-consumer brands and online marketplaces) who identify themselves to Shoptalk as buyers or influencers of the purchase of technology and other solutions for their organizations, and who also agree to take up to eight (8) 15-minute Hosted Meetings with Hosted Program Participants as part of the Hosted Program. Shoptalk provides complimentary tickets to the Event and travel reimbursement up to $750 to these Hosted Buyers.
     
     
   • "Hosted Program Participants" are those individuals who (i) enrolled in the Hosted Program and were designated as Hosted Program Representatives for their organization, pursuant to a fully executed contract between their organization and Shoptalk ("Contract"), or (ii) enrolled in the Hosted Program and were designated as Hosted Program representatives for their organization, following their organization directly purchasing Hosted Meetings as part of the Event. A single organization may have multiple Hosted Program Participants. Hosted Program Participants are included in the process of arranging Hosted Meetings with Hosted Buyers, which process is defined by Shoptalk in its sole discretion and may change from time to time.
     
     
   • "Meeting Times" are predetermined time slots during which Hosted Meetings take place. The Meeting Times are at the sole discretion of Shoptalk, will be provided to Hosted Buyers and Hosted Program Participants by Shoptalk and are subject to change by Shoptalk. As of the date of these Terms & Conditions, Meeting Times and Meeting Time Slots are scheduled to be:

     Shoptalk will notify Hosted Program Participants of the specific times of their meetings within Meeting Times prior to the start of the Event. A failure on the part of Hosted Program Participants to be available for all Meeting Times may limit the ability of Shoptalk to arrange Hosted Meetings for those Hosted Program Participants.
   
   
2. The number of Hosted Meetings purchased by any given Hosted Program Participant either directly or by their organization as part of a Contract or online is that Hosted Program Participant’s or organization’s "Hosted Meetings Cap". A Hosted Meetings Cap can be increased by purchasing additional Hosted Meetings at any time set forth by Shoptalk (deadlines apply at the sole discretion of Shoptalk).
   
   
3. Hosted Meetings are priced as set forth in the Contract or online (the price of each meeting being the "Price Per Meeting"), and the Hosted Program Participant must either directly or by their organization pay an amount equal to the Hosted Meetings Cap multiplied by the Price Per Meeting ("Meetings Payment Amount"). Shoptalk has the right to increase the Price Per Meeting at any time.
   
   
   • Shoptalk will complete a post event reconciliation to determine the number of "Completed Hosted Meetings" which is defined as the number of Hosted Meetings that (i) actually took place, (ii) would have taken place but for the absence of the Hosted Meetings Participant during the Hosted Meeting (including late arrivals resulting in Hosted Meetings that are less than 15 minutes in length), and (iii) would have taken place but for the non-acceptance or cancellation of an actual or potential Hosted Meeting by the Hosted Program Participant due to availability or for any other reason.
     
     • If the number of Completed Hosted Meetings multiplied by the Price Per Meeting (averaged if more than one Price Per Meeting applies) is less than the Meetings Payment Amount, Shoptalk will provide a refund of the difference ("Refund") within 60 days following the end of the Event ("Refund Payment Date").
     
     
4. Hosted Program Participants must provide relevant information and respond to Shoptalk’s requests by our stated deadlines as set forth in Shoptalk’s Meetup and Hosted Program guidelines (and other communications), including:
   • Completing their profiles, which includes information about themselves and their organizations ("Profiles"). All Profiles are subject to the review and approval of Shoptalk.
   • Selecting Hosted Buyers for potential Hosted Meetings and designating such selections as Hosted Meeting Requests.
   • Adding Hosted Meetings to their calendars as requested by Shoptalk.
   
   
5. A Hosted Program Participant, or their organization, may add one or more non-attendees from their organization as an Organization Admins (or assign attendees from their organizations as Organization Admins). Organization Admins can complete certain pre-event tasks on behalf of Hosted Program Participants. Organization Admins cannot attend the Event unless they hold a valid ticket, pay the applicable ticket fees, and abide by all of the terms and conditions set forth in the Terms of Attendance and Participation, which are available here.
   
   
6. Hosted Program Participants must comply with Shoptalk’s Meetup and Hosted Program rules and directives, including:
   
   
   • All Hosted Program Participants must hold a valid ticket, pay the applicable ticket fees, and abide by all of the terms and conditions set forth in the Terms of Attendance and Participation, which are available here
     
     
   • Hosted Program Participants, must:
   • Be available during Meeting Times.
   • Join Hosted Meetings at the times designated by Shoptalk.
   • Prepare for the Hosted Meetings assuming that Hosted Buyers have not prepared in advance.
   • Notify Shoptalk of any Hosted Buyer who was not present for a Hosted Meeting.
   
   
   • Hosted Program Participants must NOT do the following, which may result in termination from the Hosted Program and Meetup (and/or any subsequent Shoptalk Meetups, Hosted Programs and Events:
     • Contact any of the Hosted Buyers with whom they have Hosted Meetings prior to the event (unless they have also come into contact with those Hosted Buyers in the ordinary course of business unrelated to the Hosted Program, in which case Hosted Program Participants can only reach out to those Hosted Buyers about matters unrelated to the Hosted Program and Hosted Meetings.
     • Change the scheduled time of their Hosted Meetings (Hosted Meetings must take place at the time assigned by Shoptalk).
     • Contact any Hosted Buyers who do not show up for their Hosted Meeting (unless they have also come into contact with those Hosted Buyers in the ordinary course of business unrelated to the Hosted Program, in which case Hosted Meetings Participants can only reach out to those Hosted Buyers about matters unrelated to the Hosted Program and Hosted Meetings.
     
     
   • Hosted Program Participants must complete a Meetup feedback survey following the Event, providing specific evaluations for each Hosted Meeting. Failure to provide feedback by the Refund Payment Date may delay your Refund until feedback has been completed.
     
     
   • Shoptalk in its sole discretion determines the eligibility of any Hosted Program Participant or Hosted Buyer to be accepted for the Hosted Program and may in its sole discretion end enrollment of any Hosted Program Participant or Hosted Buyer in the onsite Meetup or Hosted Program at any time and for any reason, including canceling any Hosted Meetings and providing a refund of any Meetings Payment Amount (in such an event the payment amount would be due within 60 days following the end of the Event).
   
   
7. Time is of the essence in all Meetup and Hosted Program deadlines.

Hosted Program Onsite Process and Guidelines for Sponsors

We’re delighted you’re participating in Shoptalk’s Hosted Retailers & Brands Program! Here you will find frequently asked questions and helpful tips to help you prepare for your Hosted Program meetings and make the most out of your onsite experience!

GUIDELINES FOR ON-SITE MEETINGS:

• The individuals from retailers and brands who participate in the Hosted Program agree only to a 15 minute meeting with your organization--they have not agreed to prepare in any way for your meeting. These individuals may have opted in to meet with your organization based solely on categories or search filters rather than any specific understanding of your organization or solutions. You must assume the retailer has no knowledge of your organization or your products, and you should be prepared to give a complete sales pitch during your 15-minute meeting as well as leave time for any Q&A.
  
  
• We suggest the following for your meeting:
  • Prepare in advance any sales decks or pitches you would like to use during your presentation.
  • Share with the retailer or brand whether your organizations have had any prior discussions or meetings.
  • Bring your business cards and any other materials you would like to leave with the retailer/brand.
  • Ask the retailer or brand for their contact information at the end of the meeting.
    • If they do not have a business card, you should ask for and write down their email address.
  • End the meeting with specific requests relating to next steps. We recommend following up to your meeting in a timely fashion following the event.
    
    
• If your meeting representative is changed at the last minute, update their information in the Shoptalk platform and share these Hosted Program guidelines with the new representative to ensure they are fully prepared. Failure to do this may compromise our ability to track your organization’s completion of meetings.

Sponsors CANNOT:

• Contact any individual retailer or brand participants prior to Hosted Program Meetings in relation to the Hosted Program Meetings.
• Use the confidential information we have provided at any stage of the Hosted Program to reach out to participating individuals from retailers and brands.
• Bring anyone to a Hosted Program Meeting or into the Hosted Program Area other than the meeting representative.
• Run over the allotted 15 minutes scheduled for the Hosted Program Meetings.
• Enter the Hosted Program Area at any time they do not have a Hosted Program Meeting.
• Approach retailers and brands in the Hosted Program Area with whom they do not have scheduled meetings.
• Change the scheduled time or location of their Hosted Program Meetings.
• Bring any materials or signage that cannot fit on the table (e.g., free standing structures and pop-up signage are not allowed).

I didn’t receive a scheduled email, what should I do?

We’ll guide you each step of the way with email prompts and reminders. If you don’t get an email, check spam (from donotreply@shoptalk.com), then let us know at hosted@shoptalk.com. Also, remember to tell your IT wizards to whitelist shoptalk.com so you’ll never miss an important email from us!

What browser should I use to access the Shoptalk platform?

Our platform is regularly tested on the latest versions of Chrome, Safari, and Edge browsers.

Do I have access to information about retailers and brands that you previously shared that is no longer available in the Shoptalk platform?

At each stage of the process, we provide you with only that information you need to know in order to participate in the Hosted Program at that stage. The information you previously had access to about retailers and brands is confidential information, and cannot be used in any way or for any purpose other than as specifically described in our instructions for the Hosted Program.

FAQs for Sponsor Profile:

Can you add a new category to the platform that better fits my company?

We are not able to add any additional categories. We have defined a number of categories that are manageable for retailers and brands, and that are intended primarily to capture major or common topics. You should select the categories that are most relevant to you. If there isn’t a category that specifically describes your organization, you can include those keywords in your short description. Retailers and brands will see these short descriptions when they view lists of sponsors. Also, all words anywhere in your profile are used in search results performed by retailers and brands.

Why were multiple people in my organization provided with a link to access the Shoptalk platform?

If you have provided us with multiple sponsor contacts for your organization, we have added them to the Shoptalk platform as sponsor contacts for your organization. Everyone will receive an email that enables them to access the Shoptalk platform. Not everyone has to log in. Only that person or those people who will be completing your organization's profile, selecting retailers and brands to meet with, assigning meeting representatives, etc. need to log in. You do not have to be attending Shoptalk or participating as a meeting representative to complete your organization’s profile, make selections, or assign meeting representatives.

Can I add, edit or delete a contact for the Hosted Program?

Yes, you can log in at any time to the Shoptalk platform and add, edit and delete contacts for your organization. All sponsor contacts will receive the same access and communications.

Is it necessary for all contacts to log in?

We send login instructions to everyone you have identified as a contact for your organization. Not all contacts need to login--only those that will be performing tasks in the platform need to login, such as completing your organization’s profile, selecting retailers and brands to meet with, and assigning meeting representatives. Once you login, you can add, edit and delete contacts.

What is the difference between “Summary Description” and “Detailed Description” when I complete my profile?

Your Summary Description and Detailed Description are displayed to retailers and brands in different areas of the Shoptalk platform. When retailers and brands are shown a list of participating sponsors, your Summary Description is included. They have to click on your organization in the list to get your Detailed Description. That’s why the Summary Description is only 20-160 characters and the Detailed Description is 200-500 characters.

How is the logo used as part of my profile? What are the recommended dimensions?

Retailers and brands have access to a list of a large number of sponsors that are participating in the Hosted Program. So that we can include a logo in that list, the maximum dimension we can accomodate is 150 x 75 pixels and 50 KB. If your organization does not have this size available, we recommend an aspect ratio of 2:1. Logos are included to help create a better overall experience, but are not the primary way in which retailers and brands will navigate through the platform, which includes a range of sorting and search functions.

What information do Retailers and Brands see when they are selecting sponsors?

Retailers and brands are shown the information you included in your organization’s profile along with the reason (maximum of 160 characters including spaces) you shared if you requested a meeting with them during the selection process. Retailers and brands are not, however, provided with any information about individuals in your organization--including anyone making selections--until we schedule the final set of meetings, at which time the retailers and brands are provided with the name of your meeting representative in the respective calendar invite.

Can I pick who I want to meet with?

You can request meetings with any individual from a retailer or brand that’s participating in the Hosted Program. We recommend selecting a minimum of 5x the number of meetings you have purchased. You CANNOT select more than 10x the number of meetings you have purchased.However, we’re not able to guarantee any--or any minimum number of--meetings because retailers/brands must also opt in to meeting with you and because our scheduling algorithms account for: (1) the level of interest in a meeting provided by individuals from retailers and brands (in addition to your level of interest) and (2) multiple matches for the same meeting times. As a result, you may be scheduled with anyone with whom you have a mutual match.

If I select multiple individuals from the same retailer or brand, what happens if more than one is a mutual match with my organization?

For your initial selections and opt-ins, we will not schedule a meeting with more than one individual from the same retailer or brand determined at the subsidiary level. You should, therefore, select every individual from each retailer/brand who you are open to meeting. Since meetings are based on double opt-in, the more individuals you select from any given retailer/brand, the more likely we will be able to schedule a meeting for you with that retailer/brand. However, if you select a Late-Participant from a retailer or brand (determined at the subsidiary level) with which you already have a meeting, you will end up with meetings with more than one individual from the same retailer or brand determined at the subsidiary level. You must account for this when you select Late-Participant Retailers/Brands. You will not receive a refund for meetings with more than one individual from the same retailer or brand that result from the selection of a Late-Participant.

How many selections do you recommend we make?

We recommend selecting a minimum of 5x the number of meetings you have purchased. You CANNOT select more than 10x the number of meetings you have purchased.

How many sponsors do individuals from retailers and brands select or opt-in to for mutual matches?

There is no limit to the number of sponsors that an individual from a retailer or brand can select or opt-in to for mutual matching in order to fulfill their requirement of up to eight meetings. We do, however, require that they select or opt-in to a minimum number of sponsors.

Can I get the list of participating retailers and brands in another format, such as Excel?

No, we do not provide the list in any other format, such as excel. From time to time, retailer information may change or be supplemented, and certain individuals may drop out of the program, which happens occasionally. The only way to be sure you are reviewing current data at any point in time is to log in to the Shoptalk platform. Please note that the platform is searchable and can also be filtered by categories to facilitate your review. Many of the columns can be rearranged in ascending and descending alphabetical or numerical order.

• Information we provide about retailers and brands is confidential information, subject to our Terms & Conditions, and should not be (1) shared outside of your organization, (2) downloaded (including screenshots), or (3) used in any way or for any purpose other than as specifically described in our instructions for the Hosted Program. If you breach this provision, your company may be eliminated from the Hosted Program with no refund and not be eligible for participation in future years.

What happens when I click the request button? Does the retailer receive an email immediately?

No, the retailer does not immediately receive your request. By clicking the request button you are not triggering an immediate meeting request. You can make any changes to your selections up until the deadline. After the deadline, each individual from a retailer or brand will be provided with a list of requests from all sponsor groups that have requested meetings with them. Individuals from retailers and brands will then let us know which meeting requests they accept and which other sponsor groups they are interested in meeting that didn't initially select them--these additional selections will be aggregated and presented to sponsor groups for double opt in. Once we have all mutual matches, we will schedule meetings.

FAQs for Matching and Scheduling:

How is my final schedule of meetings determined? If the number of individuals we mutually match with is greater than the number of meetings we have purchased, how do you determine which meetings get scheduled? Do we have a say?

To provide the greatest benefit to all program participants, our automated scheduling algorithms are designed to maximize the number of meetings in the Hosted Program while also accounting for: (1) the level of interest in a meeting provided by individuals from retailers and brands--they may express preferences for some sponsors over others, (2) your expressed level of interest in any given meeting, and (3) scheduling conflicts resulting from multiple matches for the same meeting times. However, we cannot guarantee that our process will (a) result in fulfilling all of the meetings you have purchased and (b) provide meetings that prioritize your Very Interested preferences over your Interested preferences. As a result, you may be scheduled with anyone with whom you have a mutual match. You will, however, only be scheduled with individuals from retailers and brands that you opted in to as part of our process.

Do I select meetings from my final schedule?

No, your final schedule of meetings represents the full set of meetings you have purchased.

What contact information will we receive for each retailer or brand that we are scheduled to meet?

We do not provide contact information for individuals from retailers/brands prior to the event. Once meetings are scheduled, your meeting representatives​ will receive emails to access the Shoptalk platform and add their meetings to their calendars. So long as each of your meeting representatives completes a feedback and confirmation survey, we will provide contact information for the individuals you completed meetings with following the event (unless an individual specifically tells us that they do not want their contact details shared).

What if the number of my final schedule of meetings is less than the number of meetings I purchased? Will you schedule additional meetings?

Your final schedule of meetings represents all of your meetings, and no additional meetings will be scheduled other than meetings with Late-Participant Retailers/Brands for unfulfilled meetings and dropouts. All Hosted Program meetings that can be scheduled based on double opt-in, schedule availability, Late-Participant Retailers/Brands, etc. will be scheduled. If your organization ends up scheduled for less than the number of meetings you purchased, you may be eligible for a partial refund--please review the Terms & Conditions for eligibility.

What if a retailer cancels a meeting? Will the meeting be replaced?

If a retailer/brand you were scheduled to meet drops out of the Hosted Program, we will cancel that meeting and will try to replace that meeting by:

1. Automatically replacing that meeting with an existing mutual match--in which case, we’ll email your meeting rep with details of the newly scheduled meeting. If there’s no previous mutual match available, we’ll notify each sponsor contact and the meeting reps with an update that the meeting is canceled.
2. If we can’t automatically replace the canceled meeting, you may have the opportunity to select additional retailers/brands who joined the program late. If you’ve been chosen for this option, you’ll receive an email to access the platform and select retailers/ brands to help replace the canceled meeting.
   • After successfully selecting a retailer(s)/brand(s) who joined the program late, that meeting will be scheduled and will be assigned to the meeting rep previously assigned (reminder: you can change meeting representatives at any time).
   • The meeting rep will receive an email to access the platform and add the newly replaced meeting to their calendar by clicking the “Add to Calendar” button.”

FAQs for Meeting Representative Assignments and Calendaring:

Who can be assigned as a meeting representative?

All meeting representatives must be registered attendees of Shoptalk (with paid or sponsor tickets) to be assigned Hosted Program meetings.

What happens once I assign a representative to a meeting?

Meeting representatives will receive automated welcome emails upon assignment letting them know they have been designated a meeting representative. Prior to the event, our Shoptalk platform will automatically email your meeting representatives, instructing them to view their meetings and requiring them to add their meetings to their calendars.

What if I do not know the specific meeting representative by the deadline to assign meeting representatives?

You must assign a meeting representative by the given deadline or designate that a meeting rep will not be available, in which case the meeting will be canceled and you will not receive a refund for the meeting. Once a meeting is canceled in this way, it cannot be reinstated. Please note if at any time you indicate “No Meeting Representative Available” this action cannot be undone--the meeting will be canceled and cannot be reinstated.

Can I change an assigned meeting representative?

Yes, at any time before the scheduled meeting time, you can change an assigned representative in the Shoptalk platform and reassign the meeting to another representative. If you do not have a replacement representative, the meeting will be canceled and you will not receive a refund for the meeting.

FAQs for Onsite (for Meeting Representatives):

How do I know which table my meetings are held at?

Each meeting is assigned to a specific, numbered table. Check your calendar invite for table numbers assigned to your meetings. Table numbers are also included in the mobile app. Sponsor groups may be assigned more than one table to accommodate concurrent meetings.

Should I expect retailers to be prepared for my meeting?

No. You should not expect the individuals you are meeting with to be prepared for your meeting. The individuals from retailers and brands who participate in the Hosted Program agree only to a 15-minute meeting with your organization--they have not agreed to prepare in any way for your meeting. These individuals may have opted in to meet with your organization based solely on categories or search filters rather than any specific understanding of your organization or solutions. You must assume the retailer or brand has no knowledge of your organization or your products, and you should be prepared to give a complete sales pitch during your 15-minute meeting as well as leave time for any Q&A.

How many people can I bring to each meeting from my organization?

Only one representative from your organization may attend each meeting. Tables are set up with only two seats, one for the retailer/brand and one for the sponsor representative. Please DO NOT take chairs from other tables. If more than one person is present from your organization, everyone other than one person will be asked to leave, which will take up valuable meeting time and create a bad experience in front of the individual you are meeting.

What materials can I bring to my meeting? What do you recommend I bring to my meeting?

You can bring whatever you would like that can fit on your table, please note we do not provide electricity at the tables. Free standing structures and pop-up signage is not allowed. Tables will include signage with your logo as below. We recommend you prepare in advance any sales decks or pitches you would like to use during your presentation along with your business cards and any other materials you would like to give the retailer/brand.

Is each meeting table a private space?

The Hosted Program Area is an open area located in the Exhibit Hall and is set with a series of tables, each with two chairs, for one-to-one meetings.

 

Is there time in between each meeting?

You will have a total of up to 15 minutes for each individual meeting. There is a 2-minute transition period between each meeting for retailers and brands to get from one meeting to the next.

What if I cannot make a meeting?

If you know in advance that you cannot attend a meeting, you or another contact from your organization should log in to the Shoptalk platform and indicate that a meeting representative is no longer available. This will initiate an automated email to the individual from the retailer and brand letting them know the meeting is not taking place. Alternatively, if you know in advance that you cannot attend a meeting, email us at hosted@shoptalk.com--depending on when you inform us, we will attempt to notify the person you were scheduled to meet that the meeting is canceled. We advise against simply not showing up to meetings because the individual you are scheduled to meet will have a negative experience. No refunds are provided for meetings canceled by you.

Will meetings I missed be rescheduled?

No. If you miss a meeting, the meeting will not be rescheduled, and you will not receive a refund. You will not receive post-event contact details for individuals with whom you missed meetings.

What happens if I am late for a meeting?

If you are late for a meeting and the retailer or brand is still present, you can start the meeting. You will have less than 15 minutes since all meetings end at the scheduled time. However, the retailer or brand may already have left--they are only required to wait 5 minutes--in which case this is considered a missed meeting by you.

Can I change the time or place of my meeting?

No. Meetings cannot be rescheduled and they must take place in the Hosted Program Area at the assigned table. Meetings will only be scheduled during the specific Hosted Program time slots, so please plan accordingly.

How can I follow up with retailers?

Please bring your business cards and any other materials you would like to give the retailer/brand to your table. We recommend asking the retailer or brand for their contact information at the end of the meeting. If they do not have a business card, you should ask for and write down their email address in order to follow up.
